Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of Digitoly, including the website available at digitoly.com and the related tools, features, accounts, and services offered by DIGITOLY CONSULTING (collectively, the "Service").

In these Terms, "Digitoly", "we", "us", and "our" refer to DIGITOLY, and "you" or "your" refers to the person accessing or using the Service.

By accessing or using Digitoly, creating an account, or purchasing a subscription, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

1. The Service

Digitoly provides online tools for image conversion, image processing, and other digital file-related features. Available features may include format conversion, image optimization, SVG vectorization, PDF tools, and other features that we may introduce from time to time.

Some features may process files directly within your browser, while other features may require temporary processing through our servers or third-party infrastructure. Our handling of personal information and uploaded files is described in our Privacy Policy.

We may modify, improve, suspend, or discontinue any part of the Service at any time, subject to applicable law.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement under applicable law to use paid features of the Service.

Certain features require you to create an account. You agree to provide accurate and complete information and to keep your account information reasonably up to date.

You are responsible for maintaining the security of your account and for activities performed through your account. You must not share your account in a manner that allows unauthorized access to the Service.

You must notify us promptly if you believe your account has been accessed or used without your authorization.

3. Google Sign-In and Third-Party Authentication

Digitoly may allow you to create or access an account using Google Sign-In or other supported third-party authentication services.

When you choose a third-party authentication method, your use of that authentication service may also be subject to the terms and privacy policies of the relevant third-party provider.

We use information received through third-party authentication services only as necessary to authenticate and manage your Digitoly account and provide the Service, as described in our Privacy Policy.

4. Free Plans and Usage Limits

Digitoly may offer free usage, trial usage, promotional credits, or other limited access to certain features. The available usage allowance, including any number of free conversions or downloads, may be displayed on the website or within your account.

Free usage allowances are provided at our discretion and may be subject to eligibility requirements, usage limits, and anti-abuse measures.

Unless we expressly state otherwise, you may not create multiple accounts, use automated methods, or otherwise attempt to circumvent usage limits or repeatedly obtain free allowances that are intended to be limited to a user or account.

We reserve the right to modify or discontinue free plans, promotional offers, and usage allowances at any time, subject to applicable law.

5. Paid Plans and Subscriptions

Digitoly may offer paid plans or subscriptions that provide access to additional features or increased usage limits.

Prices, features, billing periods, and usage limits for paid plans will be displayed on the Service at the time of purchase.

Payments are processed through Razorpay or another payment provider made available through the Service. By purchasing a paid plan, you agree to provide accurate payment and billing information and authorize the applicable charges associated with your selected plan.

If your subscription is configured to renew automatically, you authorize recurring charges for each applicable billing period until you cancel the subscription, subject to the terms presented to you at the time of purchase.

You are responsible for cancelling your subscription before the next billing cycle if you do not wish to continue the subscription.

6. Cancellation

You may cancel your subscription using the cancellation options made available through your Digitoly account or by contacting us where applicable.

Unless otherwise stated at the time of purchase, cancellation prevents future renewal charges but does not automatically terminate access to paid features already purchased for the current billing period. You may continue to have access to those features until the end of the applicable paid period.

7. Refunds

Payments for Digitoly subscriptions and paid services are generally non-refundable once processed, except where a refund is required by applicable law or where we expressly state otherwise.

Nothing in these Terms limits any refund or consumer rights that cannot be excluded under applicable law.

8. Acceptable Use

You may use Digitoly only for lawful purposes and in accordance with these Terms.

You agree not to use the Service to:

  • Violate any applicable law, regulation, or legal obligation
  • Infringe or misappropriate another person's intellectual property or other rights
  • Process or distribute content that you do not have the legal right to use
  • Violate the privacy or personal rights of another person
  • Attempt to gain unauthorized access to accounts, systems, or infrastructure
  • Interfere with, disrupt, damage, or overload the Service
  • Use automated methods to abuse the Service or circumvent usage limits
  • Create multiple accounts for the purpose of improperly obtaining free usage or promotional benefits
  • Reverse engineer, exploit, or attempt to bypass security measures except where expressly permitted by applicable law
  • Use the Service for fraudulent, deceptive, or otherwise unlawful purposes

We may investigate suspected misuse and may suspend, restrict, or terminate access to the Service where we reasonably believe these Terms have been violated.

9. Your Content

You retain ownership of the images, files, and other content that you upload or process through Digitoly ("Your Content").

By uploading or submitting Your Content to the Service, you grant us a limited, non-exclusive right to process Your Content solely as necessary to provide the requested functionality and operate the Service.

You represent and warrant that you have all necessary rights, permissions, and authority to upload, process, and use Your Content through Digitoly.

We do not claim ownership of Your Content solely because you upload or process it through the Service.

10. Intellectual Property

The Digitoly website, branding, software, design, text, graphics, interfaces, and other materials made available by us through the Service are owned by or licensed to Digitoly and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes.

You may not copy, reproduce, distribute, sell, lease, modify, or create derivative works from the Service except as expressly permitted by us or by applicable law.

11. Service Availability

We aim to provide a reliable and available Service. However, we do not guarantee that Digitoly will always be available, uninterrupted, error-free, or compatible with every device, browser, file, or format.

The Service may occasionally be unavailable due to maintenance, updates, technical issues, third-party service interruptions, security measures, or circumstances outside our reasonable control.

12. Changes to the Service

Digitoly may add, modify, improve, suspend, or remove features from time to time. Features described as "Coming Soon" or similar are not guaranteed to become available and may be changed or withdrawn.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We do not make any express or implied warranty that the Service will be uninterrupted, error-free, secure, accurate, or suitable for every purpose.

You are responsible for reviewing and verifying converted or processed files before relying on them for professional, commercial, legal, technical, archival, or other important purposes.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Digitoly and DIGITOLY CONSULTING, including their owners, employees, contractors, and service providers, will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Suspension and Termination

We may suspend or terminate your access to the Service if we reasonably believe that you have violated these Terms, abused the Service, created a security risk, engaged in fraudulent or unlawful activity, or where suspension or termination is required to protect Digitoly, its users, or third parties.

You may stop using Digitoly at any time. You may also request deletion of your account in accordance with our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, our business practices, or applicable legal requirements.

When we make changes, we will update the "Last updated" date at the top of this page. Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the updated Terms, to the extent permitted by applicable law.

17. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

Subject to applicable law and any mandatory consumer protection rights, the courts located in New Delhi, India, will have jurisdiction over disputes arising out of or relating to these Terms or the Service.
